Studio License for Vocal Backing Track Plus Limited Synchronization and Performance Licenses The Licensee has purchased a Royalty Free Music License to use the licensed "Prize Beatz" Music Track in accordance with the terms and conditions of this license. Proof of payment is the valid Haven Sound/PD Info Invoice, showing the name of the Licensee and the "Prize Beatz" Music Track licensed. By using the Prize Beatz Music Track provided to you, you agree to the following terms and conditions: For consideration of all fees paid, Prize Beatz 1 grants the non-exclusive rights to use the "Prize Beatz" Music Track licensed. You may use the music for unlimited lifetime personal use as a music background track for your vocals. You may create, duplicate, release, sell, and distribute one (1) selected version of the licensed track with your added vocals. To support sales of your "Prize Beatz Vocal Track" you may: * Sell and Distribute Up to 10,000 Copies of one "Prize Beatz Vocal Track" as a single or part of a larger CD. * Create, release, distribute and sell one (1) music video based on your "Prize Beatz Vocal Track" released for sale. * Perform your "Prize Beatz Vocal Track" live or with lip-synch in any venue. * Create, sell, and distribute one ring tone version of your "Prize Beatz Vocal Track". * Sell or distribute your "Prize Beatz Vocal Track" in stores, websites, from stages, or anywhere you choose. * Music credit to "Jean G. Dominique, Prize Beatz 1, ASCAP" is required. You may NOT copy, sell, or distribute copies of the unmodified Prize Beatz music track either for free or for payment. You may NOT offer the unmodified music as download from any web site. You may NOT play the unmodified track in any public venue unless you are performing live vocals with the track. You may NOT use the track in any production, video, or multimedia presentation other than one music video as described above. You may NOT claim ownership of the music composition or the music track. Music credit to Prize Beatz is required. The exclusive rights and copyrights to the music are held and controlled in whole by Prize Beatz 1, and ownership of the music remains with Prize Beatz 1. The Music Track is licensed to you only and remains the property of Prize Beatz. You have purchased the lifetime rights to use the composition for your personal use and the right to one release of the music track with your added vocals. You have not purchased the right to claim ownership of the music. Outside of the USA, you need to check with the local performance organization on clearance of public performance of the music in foreign countries. The total liability of Prize Beatz 1 under this license is limited to that part of the consideration paid to Haven Sound, Inc. Prize Beatz (PB) and Haven Sound, Inc. (HSI) assume no liability, and grant no warrantee to performance or product, with the exception of replacing defective product within 5 days of receipt of returned said product. HSI / PB assume no liability for the misuse or use of this product resulting in any personal or corporate harm. End user should not use this product without proper knowledge and care of using CD Digital Audio. This agreement may not be modified orally and is binding and effective upon the download of the music track(s). This agreement and its rights are not transferrable. The Prize Beatz music track cannot be re-sold, traded, donated, decompiled, auctioned, or given away singularly or in whole. This is a single user agreement, granted to the original purchaser only. We may modify this agreement at any time to comply with any new laws. All rights specifically not granted to the licensee are reserved by HSI / PB. The downloading of a Prize Beatz music track and/or files constitutes your accepting and understanding the terms of this agreement. Foreign and oversees use of the music is applicable to the local governing laws. Neither Prize Beatz nor any of its agents or employees shall be liable to any distributor or other reseller, customer, end user or other person or any indirect, incidental, special or consequential damages (including loss of profit, business, revenue, goodwill or anticipated savings) resulting from its performance or non-performance of this Agreement or the use of, or inability to use, the content provided under this Agreement or arising (or which might be claimed) under any other cause of action or theory of claim. Moreover, the liability of Prize Beatz, Haven Sound, Inc., or its agents and employees in respect of any other cause of action (whether arising in tort, contract or otherwise and notwithstanding any negligence or other fault) shall in no event exceed the sales value of product purchased.
